General Legislations

International Business Companies (IBC´s) are restricted from carrying on banking business and providing any related insurance or reinsurance business.

 

In regards to taxation, since (IBC´s) are engaged in activities that do not produce income in Belize, they are exempt from all forms of income tax in Belize. They are also exempt from tax in Belize in respects to dividends and other distribution, capital gains, interest and rents, etc. In addition they are exempt from all forms of gifts and inheritance taxes from payment of stamp duties. Belizean (IBC´ s) are frequently used as investment vehicles and can be established by us within hours. In addition we can provide you with Powers of Attorneys, Board resolutions, Nominee Board of Directors, and Apostille certification per your request.

 

Broadly speaking we can also provide with "Exempt Trust" formation, which is one that is formed by a Settlor who is a non resident in Belize and which involves beneficiaries who are also outside residents of Belize. Such a trust is exempt from income taxes, state duty and stamp duty. The trustees are also regarded as non residents for exchange control purposes.

 

Other Important Features

 

Some of the attributes of IBC´s are as follows: Total exemption from all forms of local taxation, including Stamp Duty. Speedy and simple incorporation. Only one subscriber and thereafter one shareholder (who can be a corporate body) is required. (IBC´s) may have only one director. Directors can be corporate bodies and need not be residents in the Country.

 

Meeting of shareholders and/or directors may be held in any country, at any time and they may attend meeting by proxy. Bearer shares may be issued. No accounts or information pertaining to the identity of shareholders or directors need be filed on public records. An (IBC´s) Register of Shareholders is available for inspection only by shareholders or by order of the Belize courts at the request of a shareholder.
